These Terms of Use (“Terms”) govern your access to and use of AISolver, the AI-powered work management platform operated by Exedos Ltd (“Exedos”, “we”, “us”, “our”) at my.aisolver.com (the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility + accounts
You must be at least 16 years old (or the age of digital consent in your jurisdiction) to use the Service. By signing up you represent that the information you provide is accurate and that you are authorised to bind any organisation you represent.
You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at security@exedos.com of any unauthorised use. We may suspend or terminate accounts that violate these Terms or applicable law.
2. Your content
You retain all rights in and to the lists, tasks, notes, sheets, chats, files, drives, dashboards, and AI-generated artifacts you create or upload to the Service (“Your Content”). By using the Service you grant Exedos a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and modify Your Content solely as needed to operate, support, and improve the Service for you.
You are solely responsible for Your Content and for ensuring you have all rights necessary to upload, share, and process it through the Service. You agree not to upload content that is unlawful, infringing, defamatory, or that violates the rights of any third party.
3. AI features
The Service includes AI-driven features (agent orchestration, AI Review, AI Summary, AI Clean, image generation, document generation, chat agents, and others). These features call third-party large-language-model providers (such as Anthropic and OpenAI) which process the inputs we send them.
AI outputs are generated probabilistically and may be inaccurate, incomplete, or unsuitable for any particular purpose. You should review AI outputs before relying on them for important decisions. Exedos disclaims warranties regarding AI outputs to the maximum extent permitted by law.
You agree not to use the Service’s AI features to:
- Generate content that is illegal, harmful, defamatory, harassing, or sexually explicit involving minors;
- Generate disinformation, malware, phishing material, or content designed to defraud;
- Infringe intellectual property rights;
- Make decisions about people (employment, credit, insurance, etc.) without appropriate human review;
- Circumvent safety controls of the underlying AI providers.
4. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to derive source code or training data from the Service except as permitted by law;
- Probe, scan, or test the security of the Service, or breach security or authentication measures;
- Use the Service to send unsolicited communications (spam) or to distribute malware;
- Access the Service via automated means (scrapers, bots) other than the documented API or RSS feeds we may offer;
- Interfere with or disrupt the Service or the servers and networks that host it;
- Resell, sublicense, or commercially exploit the Service except under a written reseller agreement with Exedos;
- Use the Service in violation of any law, sanctions regime, or export control.
5. Plans, fees, and billing
The Service is offered under one or more subscription plans, which may include a free tier and paid tiers. Plan inclusions, usage limits (including AI usage caps), pricing, and billing cycles are described in the Service or your order form. Fees are stated exclusive of applicable taxes, which you are responsible for paying.
Paid subscriptions auto-renew at the end of each billing cycle unless cancelled before renewal. We may change prices upon reasonable notice, effective at the start of the next billing cycle. Refunds are not provided except where required by law.
6. Your AI provider API key
If you supply your own AI provider API key (for example, an Anthropic or OpenAI key), you are responsible for the charges billed by that provider, for compliance with their terms, and for safeguarding the key. Exedos uses the key only to make the AI calls you initiate inside the Service and does not retain it beyond what is needed to do so.
7. Sharing + collaboration
The Service lets you share workspace content with other users. Permissions you grant control what shared users can do. Removing a share revokes access prospectively but does not retract content the recipient may have already exported. Treat share invitations like you would treat email sent to a third party.
8. Intellectual property
The Service (excluding Your Content), including its software, designs, trademarks (“AISolver”, “Exedos”, and our logos), is owned by Exedos and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights.
9. Third-party services
The Service may integrate with third-party services (Google, Anthropic, OpenAI, and others). Your use of those services is governed by their respective terms. We are not responsible for third-party services and do not endorse their content. If a third-party service changes or removes its APIs, we may need to modify or discontinue the related feature.
10. Suspension + termination
You may close your account at any time via the Service or by emailing support@exedos.com. We may suspend or terminate your account if you breach these Terms, if required by law, or for prolonged inactivity. On termination, your access ends and Your Content is handled per our Privacy Policy.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Exedos does not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, Exedos and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Exedos’ aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid Exedos for the Service in the twelve months preceding the event giving rise to the claim, or (b) £100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law (including death or personal injury caused by negligence, or fraud).
13. Indemnification
You agree to defend, indemnify, and hold harmless Exedos and its affiliates from any claim, damage, liability, cost, or expense (including reasonable legal fees) arising out of your use of the Service, Your Content, or your breach of these Terms.
14. Changes to the Service or these Terms
We may modify the Service and these Terms at any time. Material changes to these Terms will be communicated by email or an in-product notice and will take effect on the date stated in the notice. Continued use of the Service after that date constitutes acceptance of the updated Terms.
15. Governing law + venue
These Terms are governed by the laws of England and Wales, without regard to its conflict of laws principles. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that we may seek injunctive relief in any court of competent jurisdiction.
16. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or asset sale. These Terms, together with our Privacy Policy, are the entire agreement between you and Exedos regarding the Service.
